1. Introduction

Startbutton Inc. (“Startbutton”) is an authorized reseller of digital goods and services including Circuits.tv content. We purchase bulk products from sellers/merchants and resell them to customers across various countries. As a Merchant of Record, Startbutton facilitates the sale and delivery of goods and services while relying on payment processors to manage local payment transactions.

By accessing Startbutton’s platform, whether as a customer/payer or a seller, you agree to comply with these Terms of Service (“Terms”).

2. Scope of Services

  1. For Customers/Payers:
    • Startbutton provides access to digital goods and services purchased via the seller’s website.
    • After placing an order, you are redirected to Startbutton’s platform for fulfillment and payment.
    • Startbutton ensures the secure delivery of the purchased goods or services.
  2. For Sellers:
    • Startbutton acts as a Merchant of Record for your products and services, facilitating their resale to customers.
    • By using Startbutton, you authorize us to represent your products, manage payments, and ensure order fulfillment.

3. Payment and VAT

  1. For Customers/Payers:
    • Payments are processed via third-party payment processors.
    • Prices displayed include applicable taxes, including VAT, where required. VAT will be calculated at checkout and added to the total price.
  2. For Sellers:
    • Payment processing fees and deductions will be outlined in your reseller agreement with Startbutton.
    • VAT compliance is your responsibility for transactions originating in jurisdictions requiring tax reporting from sellers. Startbutton may add VAT where required for resale.

4. Refund Policy

  1. For Customers/Payers:
    • Refunds are not permitted unless the goods or services are defective.
    • To request a refund, email [email protected] with evidence of the defect and transaction details. Upon verification, refunds will be processed.
    • Refunds will be issued in the original payment currency.
  2. For Sellers:
    • Startbutton reserves the right to process refunds on behalf of customers if the product or service is deemed defective or undelivered. Sellers will be notified of refund claims and may be required to reimburse Startbutton for the refunded amount.

5. Return Policy

  1. For Customers/Payers:
    • Returns are only accepted for defective goods or services or if the item does not match its description.
    • To initiate a return, contact [email protected] within 7 days of purchase.
    • Customers are responsible for return shipping unless the issue is due to a defect or error.
  2. For Sellers:
    • Sellers must provide clear return policies for goods or services offered through Startbutton.
    • Startbutton reserves the right to override a Seller’s return policy if it does not comply with local consumer protection laws.

6. Customer and Seller Responsibilities

  1. For Customers/Payers:
    • Provide accurate and complete information at checkout.
    • Use Startbutton’s services only for lawful purposes.
    • Do not misuse the platform to commit fraud or violate any applicable laws.
  2. For Sellers:
    • Ensure that goods or services offered through Startbutton comply with all applicable laws, regulations, and industry standards.
    • Deliver goods and services promptly and as described.
    • Maintain accurate records of transactions and product details.

7. Limitation of Liability

  1. For Customers/Payers:
    • Startbutton is not liable for the quality, legality, or suitability of goods or services purchased through the platform.
    • Liability for issues with the original product lies with the merchant or seller.
  2. For Sellers:
    • Startbutton will not be held liable for any claims, losses, or damages arising from non-compliance with laws, delivery failures, or product defects.
    • Sellers indemnify Startbutton against claims brought by customers regarding defective or non-compliant products.

8. Intellectual Property

  1. For Customers/Payers:
    • You may not copy, modify, distribute, or reverse-engineer any intellectual property related to Startbutton’s platform or services.
  2. For Sellers:
    • Sellers retain ownership of their intellectual property but grant Startbutton a non-exclusive license to use trademarks, logos, and content for resale and marketing purposes.

 

9. Prohibited Services

Startbutton strictly prohibits the use of its platform for transactions involving the following goods, services, or activities, consistent with guidelines outlined by global payment processors like Stripe. Violation of this section may result in the suspension or termination of services and, where applicable, legal action.

1. Illegal Activities
  • Any activities that violate applicable laws or regulations, including but not limited to money laundering, terrorism financing, or fraud.
2. High-Risk Products or Services
  • Pyramid schemes, Ponzi schemes, multi-level marketing programs, and other deceptive financial models.
  • Sale of counterfeit or unauthorized goods (e.g., fake luxury goods, pirated software).
3. Adult Content and Services
  • Pornographic material, escort services, and other sexually explicit content.
  • Live adult entertainment or subscription-based adult content platforms.
4. Gambling and Betting
  • Online casinos, sports betting, lottery tickets, sweepstakes, or games of chance.
  • Services facilitating gambling-related transactions, including tips and software.
5. Restricted Financial Activities
  • Debt collection services or credit repair services.
  • Cryptocurrency mining services, exchanges, or trading platforms.
  • Sale of prepaid access cards or stored-value cards (unless specifically authorized).
6. Unregulated or Prohibited Substances
  • Sale or distribution of drugs, narcotics, or controlled substances.
  • Cannabidiol (CBD) products and cannabis-related goods, unless compliant with local laws and authorized by Startbutton.
  • Sale of tobacco, vaping products, and e-cigarettes to jurisdictions where prohibited.
7. Harmful or Hazardous Products
  • Firearms, ammunition, explosives, or weapons.
  • Fireworks, restricted knives, and other regulated hazardous materials.
8. Intellectual Property Violations
  • Sale of products or services that infringe on copyright, trademark, or other intellectual property rights.
9. High-Risk Technology or Surveillance Equipment
  • Spyware, malware, hacking services, or other invasive technologies.
  • Unlicensed sale of surveillance equipment (e.g., hidden cameras, phone tapping devices).
10. Other Restricted Activities
  • Activities promoting hate speech, violence, or discrimination.
  • Unlicensed charities or unauthorized fundraising activities.
  • Transactions involving sensitive government documents, personal data sales, or identity theft services.

Sellers and customers are required to ensure compliance with this section and must not attempt to use Startbutton’s platform for any of the prohibited activities listed above. Non-compliance will result in account suspension and potential legal consequences.

10. Termination of Services

  1. For Customers/Payers:
    • Startbutton reserves the right to suspend or terminate access to its services for violations of these Terms.
  2. For Sellers:
    • Seller accounts may be suspended or terminated for failure to deliver goods/services, engaging in fraudulent activities, or violating applicable laws.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of [Insert Governing Jurisdiction].

  1. For Customers/Payers:
    • Disputes shall be resolved amicably or through arbitration.
  2. For Sellers:
    • Sellers agree to arbitration for disputes arising under this agreement. Arbitration costs will be shared equally unless otherwise stipulated by the ruling.
